1. Introduction

IndiaPharma.com (the “Site”) is owned and operated by AGB PharmaB2B LLP, doing business as “PharmaB2B” (“AGB PharmaB2B, “we,” “our,” or “us”). These Terms & Conditions (the “Terms”) govern your (“you” or “User”) access to and use of the Site and any related mobile applications, tools, or services (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, which are incorporated herein by reference.
If you do not agree, do not access or use the Services.

2. Definitions

  • “Account” – A unique profile created by or for a User to access certain Site features.

  • “Content” – All text, graphics, photographs, information, data, audio, video, code, and other material posted or transmitted via the Services.

  • “Listing” – Any supplier, product, or service information posted on the Site.

  • “Membership Plans” – Paid or free subscription tiers (Free, Pro, Premium, etc.) that determine a User’s access level to certain features.

  • “User-Generated Content” (UGC) – Content provided or uploaded by Users, including Listings, reviews, messages, or other submissions.

3. Eligibility

Use of the Services is limited to:

  1. Legal entities duly organised and validly existing under applicable law; and

  2. Individuals at least 18 years old and authorised to act on behalf of such legal entities.
    You represent that all information you submit is accurate, complete, and up-to-date.

4. Scope of Services

IndiaPharma.com is an online B2B directory and marketplace that enables Users to:

  • Search for pharmaceutical suppliers, products, and services;

  • Post and manage Listings;

  • Submit enquiries or requests for quotations (RFQs).

IndiaPharma.com is not a party to any transaction between buyers and suppliers, does not endorse or guarantee any product, service, or Listing, and does not conduct due diligence on Users. All negotiations and transactions are strictly between the transacting parties.

5. Account Registration & Security

  • One Account per legal entity unless expressly approved in writing.

  • You are responsible for maintaining the confidentiality of login credentials and for all activities under your Account.

  • Notify us immediately at support@indiapharma.com of any unauthorised access or security breach.

  • We may suspend or terminate Accounts for violations of these Terms or applicable law.

6. Membership Plans, Fees & Payments

  1. Plans & Benefits – Details of each plan (e.g., Listing limits, visibility priority, analytics) are displayed on the Site.

  2. Billing Cycle – Plans renew automatically (monthly or annually) unless cancelled ≥ 30 days before renewal.

  3. Fees – Prices are in INR/USD and exclusive of applicable taxes unless stated otherwise.

  4. Payment Gateway – We use third-party processors that are PCI-DSS compliant; you authorise us to share necessary payment information with them.

  5. Refunds – Except as required by law, fees are non-refundable once the billing period starts.

  6. Failure to Pay – Overdue amounts may result in suspension or downgrade of Services.

7. User Obligations & Prohibited Conduct

You agree to:

  • Use the Services only for lawful business purposes.

  • Provide only accurate, non-misleading Listings and promptly update any changes.

  • Possess all licences and authorisations required to manufacture, sell, export, or import listed products.

You must not:

  1. Post false, defamatory, obscene, or infringing Content;

  2. Upload viruses, malware, or malicious code;

  3. Harvest or scrape data without permission;

  4. Use automated bots to access or overload the Site;

  5. Impersonate any person or entity or misrepresent your affiliation.

8. User-Generated Content (UGC)

  • Licence – By posting UGC you grant AGB a worldwide, non-exclusive, royalty-free, sublicensable licence to use, reproduce, publish, translate, display, and distribute such UGC in connection with providing the Services.

  • Responsibility – You are solely responsible for your UGC, and you represent that you have all rights necessary to grant the licence above.

  • Moderation – We reserve the right (but not the obligation) to remove or edit UGC at our sole discretion, including if it violates these Terms or applicable law.

9. Intellectual Property

All Site content (other than UGC), trademarks, logos, and service marks are owned by AGB or its licensors and are protected under Indian and international IP law.

  • Limited Licence – We grant you a revocable, non-transferable, non-exclusive licence to access and use the Services solely for their intended purpose.

  • No Commercial Use – Except as expressly allowed, you may not copy, modify, distribute, sell, or lease any part of the Services.

10. Third-Party Links & Services

The Site may contain links to third-party websites or services (“Third-Party Services”). We provide these for convenience only and do not control, endorse, or assume responsibility for them. Your use of Third-Party Services is at your own risk and subject to their own terms.

11. Privacy & Cookies

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share data, and our Cookie Policy. By using the Services, you consent to such collection and use.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
AGB makes no representations regarding accuracy, completeness, or reliability of Listings or UGC, and does not warrant that the Services will be uninterrupted, secure, or error-free.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGB PharmaB2B (INCLUDING ITS PARTNERS, EMPLOYEES, AND AGENTS) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability under these Terms for any claim shall not exceed the amount you paid to AGB PharmaB2B  (if any) in the 12 months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless AGB PharmaB2B and its affiliates from any claim, loss, liability, demand, or expense (including legal fees) arising out of or related to:

  1. Your access to or use of the Services;

  2. Your breach of these Terms; or

  3. Your violation of any law or third-party right.

15. Termination & Suspension

  • We may suspend or terminate your Account or access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, harms other Users, or exposes AGB PharmaB2B to liability.

  • You may terminate your Account by providing 30-day written notice to support@indiapharma.com and settling any outstanding fees.

  • Sections intended to survive termination—including Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, and Governing Law—will remain in effect.

16. Changes to Services & Terms

We reserve the right to modify or discontinue the Services (in whole or in part) and to update these Terms at any time. Material changes will be notified via email or a conspicuous notice on the Site at least 7 days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of India without regard to conflict-of-laws rules.

  • Jurisdiction – Courts in Mumbai, Maharashtra have exclusive jurisdiction.

  • Amicable Resolution – You agree to first attempt to resolve any dispute informally by contacting us at support@indiapharma.com.

  • Arbitration  – If unresolved within 30 days, disputes may be referred to binding arbitration under the Arbitration & Conciliation Act, 1996. The seat of arbitration shall be Mumbai. Proceedings will be in English.

18. Force Majeure

AGB PharmaB2B will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, internet or telecom outages, or governmental actions.

19. Notices

  • Electronic – Notices may be sent to the email address on your Account or posted on the Site.

  • Physical – Written notices to AGB must be delivered to AGB PharmaB2B LLP, B-BLOCK, Salarpuria Symphony, Pragathi Nagar, Basapura, Bengaluru, Karnataka 560100

20. Severability

If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

21. Entire Agreement

These Terms constitute the entire agreement between you and AGB regarding the Services and supersede any prior agreements or understandings (written or oral) relating to their subject matter.
